Due Diligence

OFW frequently assists clients with due diligence evaluations of companies regulated by HHS, FDA, and USDA. We review and advise on a target company’s compliance history and potential vulnerabilities, and undertake onsite audits of practices if needed. Based upon our evaluation and findings, we provide advice on contractual language and representations and warranties. We are typically used as a resource by other law firms, investment bankers, venture capitalists, accountants, and other professionals engaged in matters requiring expertise in HHS, FDA, and USDA regulations.
